1. Introduction

When you access the Singapore Academy of Law (“SAL”, or “we”, “us”, “our” as applicable) Living Case Study Website (“Website”), you agree to all of these terms. Your access to and use of the Website our Privacy Policy, which covers how we collect, use, share, and store your personal information.
By signing into your SAL ID Account or accessing or using our Services (described below), you are agreeing to enter into a legally binding contract with SAL(even if you are using third party credentials or using our Services on behalf of a company). If you do not agree to the terms and conditions as contained herein (“Terms of Use”), do not continue to access or otherwise use any of our Services.
Services
These Terms of Use applies to the Website and all related sites, applications, platforms, communications, and other services that state that they are offered under this Terms of Use (“Services”), including but not limited to the posting of any content and/or communications on the Website and all related sites, applications and/or platforms.
1.2 SAL Members and Visitors
These Terms of Use apply to SAL Members and visitors to the Website (“Visitors”).
When you register and/or sign into your SAL ID Account, you become a “Member”. If you have chosen not to sign in to your SAL ID Account to use the Services provided under this Website, you may access certain features as a “Visitor.”
1.3 Changes
We may make changes to these Terms of Use, the Website and the Services from time to time. We reserve right to improve, change, modify, substitute or remove any information on this Website, or terminate this Website, at any time without notice. If you object to any of these changes, please cease any further use of the Website and/or the Services.
2. Obligations
2.1 Notices and Messages
You consent to us providing notices and messages to you through the Website and other platforms, websites, apps, and in accordance with contact information that is provided to us. If your contact information is out of date, you may miss out on important notices.
2.2 Sharing
When you share information on our Services, others can see, copy and use that information.
Our Services allow sharing of information (including content) in many ways, such as (but not limited to), and where applicable through your profile, posts, articles, comments, and links to third party websites and/or platforms. The information that you share may be seen by other Members, and/or Visitors. Any communication, information or material that you make available or transmit to Website, including but not limited to any comments, data, questions and suggestions, is and will be treated as non-confidential and non-proprietary unless a prior arrangement in writing is made between you and SAL. SAL may preserve any such content and may disclose it to third parties if required to do so by law or in the good faith belief that such preservation or disclosure is necessary to comply with legal process; respond to claims that the content violates the rights of third parties; enforce these Terms of Use; or protect the rights, property or personal safety of this Website and its users.
2.3 Your Provision of Information
You promise to only provide content and other information that you have the right to share and/or provide to the Website or pursuant to the Services.
You agree to only provide content and other information that does not violate the law or anyone’s rights (including intellectual property rights). You have choices about how much information to provide to the Website or pursuant to your use of the Services. You further warrant that all information you provide will be truthful.
3. Rights and Limits
3.1. Intellectual Property
Unless otherwise expressly indicated, the copyright, database right and rights of an allied nature in the material contained in the Website, together with the website design, text and graphics, and their selection and arrangement, belong to SAL. All rights are reserved. None of this material maybe be reproduced or redistributed without its prior written permission. You may, however, download or print a single copy for your own non-commercial off-line viewing.
You agree that any logos, names, service marks, trade marks and other devices(collectively referred to as “Marks”) pertaining to SAL that may be displayed on this Website, including the circular crest and the motto of SAL, “LawNet”, “Singapore Academy of Law”, “SAL”, “Singapore Law Reports” and “SLR”, are its registered and/or unregistered Marks. Nothing contained on this Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the Marks belonging to it or third parties that are displayed on this Website without prior written permission.
As between you and SAL, you retain ownership over your own original content that you submit or post on the Website and/or to the Services.
You grant SAL and all members of the SAL Group (being the Singapore Academy of Law and/or all or any of its subsidiaries and/or related companies, including LawNet Technology Services Pte Ltd, SMC, Asian Business Law Institute and SAL Ventures Ltd, as may be applicable) the following non-exclusive license to the content and other information you provide (e.g., share, post, upload, and/or otherwise submit) to the Website and/or to the Services a worldwide, transferable and sublicensable right to use, copy, modify, distribute, publicly perform and display, host, and process your content and other information without any further consent, notice and/or compensation to you or others.
While we may edit and make format changes to your content (such as translating or transcribing it, modifying the size, layout or file type, and removing or adding labels or metadata), we will take steps to avoid materially modifying the meaning of your expression in content you share with others. You agree that if content includes personal data, it is subject to our Privacy Policy. You agree that we may access, store, process, and use any information (including content and/or personal data) that you provide in accordance with the terms of the Privacy Policy.
By submitting suggestions or other feedback regarding our Services to the Website, you agree that SAL can use and share such feedback (but is not obligated to do so) for any purpose without compensation to you.
3.2 Service Availability
We may change or limit the availability of some features of the Website or end any portion of the Services. Notwithstanding the foregoing, we will endeavour to allow you uninterrupted access to this Website, but access to this Website may be disrupted, restricted, suspended or terminated at any time at our discretion or for reasons beyond our control.
We may change, suspend or discontinue any of our Services. We may also limit the availability of features, content and other information so that they are not available to all Visitors or Members (e.g., by country or by subscription access).
We do not promise to store or show (or keep showing) any information (including content) that you’ve shared. The Website is not a storage service, and you agree that we have no obligation to store, maintain or provide you a copy of any content or other information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy.
All comments and information posted by you to the Website shall be subject to our review and assessment, and you agree that we retain the right to, at our sole discretion, delete and/or prevent any comment and/or information from being published or posted, whether in whole or in part, on the Website.
3.3 Content and Information
Your use of content and information posted on Website, is at your own risk.
The information, software, products, and services included in or available through the Website may include inaccuracies or typographical errors. Changes are periodically added to the information herein. SAL and/or its suppliers may make improvements and/or changes to the Website at any time. Advice received via the Website should not be relied upon for personal, medical, legal or financial decisions and you should consult an appropriate professional for specific advice tailored to your situation.
SAL does not warrant that the Website and Services will meet your requirements or that they will be accurate, complete, reliable, timely, secure or error-free or perform in an uninterrupted manner or be free from viruses or other harmful code. SAL shall not be liable in any way whatsoever for any losses, damage, fees, costs or expenses arising out of or in connection with the use of or reliance on the Website or Services or any downtime or service outage affecting them.
By accessing the Website and/or using the Services, you may encounter content or other information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful.
You agree that we are not responsible for content or other information made available through or within the Services by others, including Members. While we may review (whether by automated tools or otherwise) much of the content and other information presented in the Services and/or the Website, we cannot always prevent misuse of the same, and you agree that we are not responsible or liable in any way for any such misuse.
You also acknowledge the risk that others may share potentially inaccurate or misleading information about you or your organization, and that you or your organization may be mistakenly associated with content about others. You agree that we will not be responsible or liable in any way to you or your organisation for such information and content.
3.4 Limits
We have the right to limit how you connect and interact on our Services and your access of the Website, at our sole discretion and at any time whatsoever.
We can also remove any content or other information you share or post on the Website for any reason whatsoever and at our discretion, if we assess that it violates our policies or these Terms of Use.
We further reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in SAL’s sole discretion.
Always use caution when giving out any personally identifying information in any Communication Service. We do not control or endorse the content, messages or information found in any post, submission and otherwise provided on the Website and, therefore, SAL specifically disclaims any liability with regard to such information and any actions resulting from your access of the Website and use of the Services. Managers and hosts are not authorised SAL spokespersons, and their views do not necessarily reflect those of SAL.
3.5 Members and Content Ambassadors
Subject to these Terms of Use, you may submit and post comments to the Website after signing in to your SAL ID.
You may be designated as a “Content Ambassador”. As a Content Ambassador, you would be able to submit and post more content and information to the Website. As a Content Ambassador, you expressly agree that you are solely responsible for all content and information you submit and post to the Website, and SAL shall bear no liability or responsibility for any and all content and information provided by yourself.
4. Acceptable Use
4.1 Your Use of the Website
You may only use the Website in accordance with these Terms of Use and, in any event, for lawful and proper purposes which includes complying with all applicable laws, regulations and codes of practice within Singapore or other jurisdictions from which you are accessing this Website. In particular, you agree that you will not:
i. upload, post, e-mail or otherwise transmit to the Website or to SAL:
- a. any content that is abusive, defamatory, harassing, harmful, invasive of privacy, objectionable (due to attitudes towards disability; gender; race, descent, ethnicity or nationality; religion or belief; sexual orientation; or other personal characteristics), obscene, threatening, tortious or unlawful, or otherwise use this Website in a manner which causes or may cause an infringement of the rights of any third party;
- b. any content that you do not have a right to transmit under any law (including content that infringes the intellectual property rights of any third party), or under contractual or fiduciary relationships (such as confidential or proprietary information learned or disclosed as part of employment relationships or under non-disclosure agreements); and
- c. any unsolicited or unauthorised advertising or promotional materials or any other form of solicitation, including but not limited to chain letters, junk mail and spam;
ii. impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with any person or entity, or take any action to disguise the origin of any content transmitted to the Website or to SAL;
iii. use any software, routine or device to interfere or attempt to interfere electronically or manually with the operation or functionality of this Website, including but not limited to uploading or making available through whatever means files containing corrupt data, software viruses or any computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
iv. deface, alter or interfere with the front-end “look and feel” of this Website or the underlying software code;
v. take any action which imposes an unreasonable or disproportionately large load on this Website or its related infrastructure;
vi. obtain or attempt to obtain unauthorised access, through whatever means, to any of computers, networks or servers owned or used by SAL; and/or
vii. collect or store personal information about other users of the Website.
4.2 Limitations on Use
You may only use the Website in the capacity of an end-user. You must not, without the prior written permission of SAL:
i. sell, resell or otherwise exploit; copy or reproduce for the purpose of such sale, resale or exploitation; or carry out an act preparatory to any of the foregoing acts in respect of; any portion of the Website, or documents or information obtained from the Website; or
ii. access or use the Website for providing database, information, service-bureau or other commercial services to third parties.
4.3 Indemnity
You agree to indemnify and hold SAL, its subsidiaries, affiliates, officers, employees and agents, harmless from any claim or demand, including legal fees on an indemnity basis, made by any third party due to or arising out of (i) your use of this Website, (ii) content and/or any information you submit, post to or transmit to the Website or to SAL; (iii) or your violation of these Terms of Use or of the rights of any third party. Without prejudice to any of our other rights, whether at law or otherwise, SAL reserves the right to deny you access to this Website where it believes in its absolute discretion that you are in breach of any of these Terms of Use.
5. Disclaimer and Limit of Liability
5.1 No Warranty
SAL AND THE SAL GROUP MAKE NO REPRESENTATION OR WARRANTY ABOUT THE WEBSITE AND SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES AND/OR ACCESS TO THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE. ACCESS TO THE WEBSITE AND PROVISION OF THE SERVICES IS ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW AND UNLESS PROVIDED OTHERWISE, SAL AND THE SAL GROUP DISCLAIM ANY AND ALL WARRANTIES (WHETHER IMPLIED OR OTHERWISE), INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
5.2 Exclusion of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SAL AND THE SAL GROUP SHALL NOT BE LIABLE IN CONNECTION WITH THESE TERMS OF USE FOR ANY LIABILITY ARISING OUT OF OR IN CONNECTION WITH LOST PROFITS OR LOST BUSINESS OPPORTUNITIES,
REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.TO THE FULLEST EXTENT PERMITTED BY LAW, SAL AND THE SAL GROUP SHALL NOT BE LIABLE TO YOU FOR ANY LIABILITY ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO THE WEBSITE AND/OR USE OF THE SERVICES.
5.3 Basis of the Bargain; Exclusions
The limitations of liability in this Section 5 are part of the basis of the bargain between you and SAL and shall apply to all claims of liability (e.g., warranty, tort, negligence, contract and law) even if SAL and the SAL Group have been informed of the possibility of any such damage, and even if these remedies fail their essential purpose.
THESE LIMITATIONS OF LIABILITY DO NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY OR FOR FRAUD, GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, OR IN CASES OF NEGLIGENCE, WHERE A MATERIAL OBLIGATION HAS BEEN BREACHED. A MATERIAL OBLIGATION BEING AN OBLIGATION WHICH FORMS A PREREQUISITE TO OUR DELIVERY OF SERVICES AND ON WHICH YOU MAY REASONABLY RELY, BUT ONLY TO THE EXTENT THAT THE DAMAGES WERE DIRECTLY CAUSED BY THE BREACH AND WERE FORESEEABLE UPON CONCLUSION OF THESE TERMS OF USE AND TO THE EXTENT THAT THEY ARE TYPICAL IN THE CONTEXT OF THESE TERMA AND CONDITIONS.
6. Governing Law and Dispute Resolution
These Terms of Use and all matters relating to your access to, or use of, the Website and Services shall be governed by and construed in accordance with the laws of Singapore.
Any dispute arising out of or in connection with these Website Conditions, including any question regarding its existence, validity or termination, shall be settled by mediation in Singapore at the Singapore Mediation Centre (“SMC”) in accordance with SMC’s Mediation Procedure in force for the time being.
7. General Terms
These Terms of Use contain all the terms of your agreement with SAL relating to your use of the Website, and supersede any prior agreements, if any, between you and SAL.
SAL may modify these Terms of Use at any time. Such modification shall be effective immediately upon posting of the modified Terms of Use on this Website. Accordingly, your continued or subsequent access or use of this Website and the Services shall be deemed to be your acceptance of the modified Terms of Use.
The failure of SAL to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, you agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and that the other provisions of these Terms of Use remain in full force and effect.
The section headings in these Terms of Use are for convenience only and have no legal or contractual effect.
Neither your access to the Website, your use of the Services nor these Terms of Use creates any relationship of solicitor and client between any of SAL’s officers, employees or agents on the one hand and you on the other, and none of the content of the Website should be construed as legal advice.
None of these Terms of Use shall be enforceable under the Contracts (Rights of Third Parties) Act 2001 by a person who is not a party to it.
